The Brief.
Meridian Neobank had burned through two agencies. Both promised "authentic content." Neither understood that a single unqualified forward-looking statement could trigger an SEC inquiry. Their CMO, Priya Nair, came to us with 18 months of stalled campaigns and a compliance officer who'd started cc'ing legal on every brief.
The constraint was precise: every claim about yield, every mention of FDIC coverage, every comparison to legacy banks had to survive a review by their Chief Compliance Officer before a single frame was shot.
Regulatory Context
SEC Rule 17a-4 governs communications. FINRA Rule 2210 covers retail communications including social media. Any performance claim requires a 1-year, 5-year, and 10-year comparison where applicable.
